1. Introduction and Acceptance of Terms
Welcome to Momentum Minds, operated by Momentum Minds LLC, a limited liability company registered in the State of New Mexico, United States ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of Momentum Minds' website, coaching programme, coaching materials, and AI tools (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, you may not access the Services. We reserve the right to update these Terms at any time. Continued use of our Services following any changes constitutes your acceptance of such changes.
2. Description of Services
Momentum Minds provides a six-month 1-on-1 business coaching programme for solo founders. The programme consists of: (a) unlimited scheduled one-on-one coaching calls throughout the six-month programme; (b) direct access to your coach between calls via WhatsApp; (c) review of your outreach messages and sales call recordings; (d) scripts, templates, tools, and other coaching materials; and (e) access to our custom AI coaching assistant. The price is listed in the programme brochure. Scheduling and payment details are set out in your individual coaching agreement. We do not offer group coaching, self-paced courses, or a community platform. We reserve the right to modify or update the format of the programme, provided the core services in your coaching agreement are maintained.
3. Eligibility
You must be at least 15 years of age to use our Services. If you are under 18, you must have parental or guardian consent to enter into this agreement and use our Services. By using our Services, you represent that you meet these eligibility requirements and that you have the authority to enter into this agreement. Our Services are not intended for children under 15 years of age and we do not knowingly collect information from children under 15.
4. Term and Payment
The programme runs for six months from the start date stated in your coaching agreement. The price is listed in the programme brochure and your individual coaching agreement. Payment is made once in full up front for six months of unlimited one-on-one coaching. Any instalment arrangement requires a separate written agreement. Existing signed agreements retain their agreed payment terms. All payments are processed securely via Stripe. Accepted payment methods include credit card, Google Pay, Apple Pay, and other methods available through Stripe. Each payment is due on the date stated in your coaching agreement. If a scheduled payment fails, we may pause coaching services until payment is received. We reserve the right to change our prices for new clients at any time; the price in your signed coaching agreement will not change during your term.
5. Extra Month Coaching Guarantee
If you have not collected $1,500 from new clients within the first 60 days, you can continue your six-month programme and receive one extra month of coaching free after the six-month term. Speak with Mathias to arrange the extra month. This guarantee provides an extra month of coaching; it does not provide cancellation, waived payments, or a refund. All sales are final and we do not offer refunds, except in cases of duplicate charges or demonstrable billing errors. Fraudulent chargebacks will result in immediate termination of your access and may lead to legal action.
6. Client Responsibilities
You agree to: attend scheduled calls, or reschedule with at least 24 hours notice (calls missed or cancelled with less than 24 hours notice may be forfeited); complete agreed action items between calls; communicate honestly and openly with your coach; and take sole responsibility for the business decisions you make. Momentum Minds provides coaching support, frameworks, and educational resources, not financial, legal, or tax advice. Results depend on your individual effort and circumstances.
7. Intellectual Property
All content, materials, frameworks, templates, scripts, systems, AI tools, and resources provided by Momentum Minds are proprietary and protected by applicable intellectual property law. You are granted a personal, non-exclusive, non-transferable, and revocable licence to access and use these materials for your own personal, non-commercial business purposes only. You may not copy, reproduce, distribute, modify, sublicense, or create derivative works from any of our content without express written consent from Momentum Minds.
8. User Conduct
When using our Services, you agree not to: violate any applicable laws or regulations; infringe the rights of others, including intellectual property rights; harass, abuse, or harm any person; impersonate or misrepresent your affiliation with any person or entity; interfere with or disrupt the Services; attempt to gain unauthorised access to any part of the Services; or use the Services for any illegal or unauthorised purpose.
9. Confidentiality
Both parties agree to maintain the confidentiality of any sensitive business information shared during the coaching relationship. Momentum Minds will not disclose your personal business information to third parties without your consent, except as required by law. You agree to keep confidential any proprietary information, methods, or materials shared by Momentum Minds during the coaching relationship.
10. Limitation of Liability
Momentum Minds provides coaching services for informational, motivational, and educational purposes only. Results mentioned in testimonials or case studies reflect individual client experiences and are not guarantees of future performance. To the fullest extent permitted by applicable law, Momentum Minds LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of or inability to use the Services. Our total liability under any circumstances is limited to the amount paid by you for the specific service in question during the 12 months preceding the relevant event.
11. Disclaimer of Warranties
Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Except for the Extra Month Coaching Guarantee in section 5, we do not warrant that our coaching will result in any specific business outcome. Client results shown on our website are individual outcomes and not a promise of what you will achieve.
12. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in New Mexico, and you hereby consent to the personal jurisdiction and venue of such courts.
13. Dispute Resolution
If you have any concerns or disputes about our Services, please contact us first at [email protected]. We will do our best to resolve any disputes through informal good-faith negotiation within 30 days. If a dispute cannot be resolved informally, it shall be finally settled through binding arbitration conducted in New Mexico, United States, in the English language. You agree that any arbitration or legal action shall be conducted only on an individual basis and not as a class, consolidated, or representative action.
14. Indemnification
You agree to indemnify, defend, and hold harmless Momentum Minds LLC, its officers, members, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including any intellectual property or privacy right; or (iv) any claim that your actions or content caused damage to a third party.
15. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, at our sole discretion, for a breach of these Terms, including non-payment or abusive conduct. You may stop using the Services at any time. Ending the programme early does not release you from the payments agreed in your coaching agreement, and no refund will be issued. All provisions of these Terms which by their nature should survive termination shall continue in full force and effect.
16. Changes to Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Your continued use of our Services after any changes take effect constitutes your acceptance of the updated Terms.
